1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (personally or on behalf of an entity) and Tate Ellis Technologies LLC ("we", "us", "our"), governing your access to and use of the MyCourie web dashboard, mobile application, and related services (collectively, the "Platform").
By accessing or using the Platform as a Courier Service Owner, Dispatcher, Delivery Driver, or Customer, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree, you must discontinue use of the Platform immediately.
2. Scope of Service & Zero Cargo Liability Disclaimer
SaaS Platform Only — No Physical Transportation Services
MyCourie is strictly a Software-as-a-Service (SaaS) fleet coordination, routing, and administrative tool. We do not provide physical courier services, freight shipping, transportation labor, or specimen handling.
All physical cargo, medical specimens, pharmaceuticals, documents, delivery timelines, and vehicle operations are managed solely by independent Courier Service tenants and their personnel.
- Specimen & Cargo Integrity: Tate Ellis Technologies LLC is not liable for lost, damaged, stolen, or degraded packages, delayed laboratory tests, temperature fluctuations, or spoiled medical specimens.
- Road & Transit Safety: We make no warranties regarding driving safety, optimal routing during weather emergencies, mapping inaccuracies, traffic congestion, or driver conduct. Delivery drivers and courier tenants bear sole responsibility for safe vehicle operation and regulatory compliance.
3. Subscription Pricing, Platform Fees & Invoicing Terms
Access to tenant administrative workspaces is provided under tiered subscription plans and transaction processing terms:
- Subscription Tiers: Software access is offered under transparent tiers: Free (evaluation), Solo ($25/month), Team ($50/month), Professional ($100/month), and Enterprise ($200/month). Eligible plans include a 7-day complimentary free trial. Annual billing cycles offer 2 months free savings. All subscription payments are processed via Stripe and are non-refundable.
- Invoicing Platform Fees: Dependent on the tenant's active plan, commercial client invoices finalized through Stripe Connect may incur a nominal platform invoicing fee (0.50% to 3.00%). This fee is strictly capped at a maximum of $100.00 per invoice to protect high-volume courier operations.
- Flexible Fee Routing: Courier services maintain complete control over platform invoicing fees. In their Office settings, managers can choose to:
- Absorb 100%: The courier service covers the platform fee from their gross delivery settlement.
- Split 50/50: The fee is evenly divided between the courier service and customer invoice.
- Pass to Customer (100%): The fee is itemized on the client invoice, meaning the courier pays only their standard base software subscription.
- Account Standing & Suspension: Failure to settle recurring subscription charges or platform processing fees may result in temporary account restriction or suspension after notice.
4. Multi-Platform Architecture & App Store Compliance (Web-to-Companion Model)
Multi-Platform Enterprise SaaS & Web-Only Commercial Billing
MyCourie operates as a multi-platform business software service in accordance with Apple App Store Review Guidelines (Sections 3.1.3(a) "Multiplatform Services" and 3.1.3(b) "Multiplatform Enterprise & Multi-User Business Tools") and Google Play Developer Policies.
Our multi-tenant logistics platform cleanly bifurcates commercial business administration from mobile field operations:
- Web Dashboard Exclusivity for Subscriptions & Billing: All courier organization registrations, subscription tier selections, billing cycle choices, payment method management (via Stripe), setup fees, invoicing fee adjustments, and financial reconciliations operate exclusively on the web dashboard at mycourie.com.
- Mobile Companion Utility (iOS & Android): The MyCourie mobile application is strictly an operational field companion for authenticated courier dispatchers and delivery drivers. It provides live manifest navigation, stop proof of delivery (photos and digital signatures), shift time tracking, and offline basement mode synchronization.
- Zero In-App Digital Purchases: The mobile application does not offer digital consumable goods, in-app purchases, or commercial subscription unlocks within the mobile client binary. Mobile operational access is granted automatically to authorized personnel based on the courier organization's active web-managed subscription tier.
5. Contractor & Driver Relationship Disclaimer
MyCourie provides digital time card and shift performance tracking tools (including mileage, duration, and stop completion metrics).
- No Employer Relationship: Delivery drivers operate as direct employees or independent contractors of their respective Courier Service tenant. Tate Ellis Technologies LLC is not an employer, co-employer, or joint venture partner of any driver.
- Labor & Compliance: Courier tenants are solely responsible for contractor agreements, wage and hour compliance, tax withholdings, vehicle insurance, fuel stipends, and workers' compensation.
6. Intellectual Property & AI-Assisted Engineering Transparency
All rights, title, and interest in and to the Platform—including software source code, database architectures, routing algorithms, visual components, branding, and logos—are owned exclusively by Tate Ellis Technologies LLC.
Engineering Transparency: MyCourie software systems and routing logic are developed by Tate Ellis Technologies LLC utilizing proprietary engineering methodologies assisted by advanced artificial intelligence tooling under continuous human review.
Your active subscription grants you a limited, non-exclusive, non-transferable, revocable license to access the Platform for your internal business logistics. No ownership rights are transferred.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Tate Ellis Technologies LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including lost profits, lost cargo, data loss, business interruption, or vehicle collisions.
In no event shall our total aggregate liability arising out of or related to these Terms exceed the total subscription fees paid by you to Tate Ellis Technologies LLC in the twelve (12) months preceding the claim.
8. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Utah.
9. Dedicated SMS Dispatch & Will-Call Notification Terms (10DLC Compliance)
Transactional SMS Dispatch Communications Only
MyCourie enables licensed courier services to provision dedicated telephone numbers for B2B delivery order intake and transactional status alerts. We do not engage in cold outbound SMS marketing.
- Program Description & Number Distribution: Subscribing courier services are provisioned a dedicated local virtual telephone number through our telecommunications carrier partner (Telnyx). Courier services distribute their dedicated dispatch number directly to their authorized commercial business clients (such as hospitals, medical clinics, pathology laboratories, and corporate offices) via direct onboarding emails, service agreements, and telephone coordination.
- Consent & Inbound Order Initiation: Commercial clients initiate delivery orders by texting pickup details to their courier's dedicated dispatch number. Sending an initial delivery request serves as affirmative consent to receive transactional status messages related to that specific delivery (including automated order previews, driver assignment, en-route notifications, and delivery completion receipts).
- Opt-Out Instructions: Recipients may cancel or revoke SMS communications at any time. Simply reply STOP, CANCEL, END, QUIT, or UNSUBSCRIBE to any dispatch message. Upon receipt, an automated confirmation message will be sent, and no further text messages will be delivered unless the client re-initiates contact by texting START.
- Help & Customer Support: For assistance, reply HELP or INFO to any dispatch message, or contact our engineering support team directly at
admin@tateellistech.comor via our Support Center. - Message Frequency & Standard Rates: Message frequency varies dynamically based on the volume of active delivery orders submitted by the client. Standard message and data rates may apply depending on your mobile carrier plan.
- Carrier Liability: Mobile wireless carriers (including AT&T, T-Mobile, Verizon, and regional operators) are not liable for delayed or undelivered messages.
- Strict Privacy & Anti-Spam Guarantee: Mobile phone numbers, opt-in consent data, and SMS conversation histories will strictly NEVER be sold, rented, leased, or shared with third parties or commercial affiliates for marketing or promotional purposes.
